Terms of Service
Dark Matter Research is an impersonal, educational market-intelligence platform. Nothing on the Service is investment advice or a recommendation to buy or sell any security. These Terms govern your use of the Service. Please read them carefully — by using the Service you agree to be bound by them.
These Terms of Service (“Terms”) form a binding agreement between you (“you” or “user”) and Dark Matter Research (“Dark Matter Research,” “we,” “us,” or “our”) governing your access to and use of our website, educational content, dashboards, data tools, newsletter, and any optional coaching or program (collectively, the “Service”).
01Acceptance of Terms
By creating an account, subscribing, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
02Description of the Service
The Service is an educational market-intelligence platform. It aggregates and presents market data, analytics, dashboards, research models, and commentary intended to help you learn about markets and develop your own analytical skills. It is published and made available on the same impersonal basis to all subscribers and is not tailored to your personal financial situation, objectives, or needs.
- →Educational platform. Market dashboards, scoring and valuation models, scanners, macro and energy analytics, and related informational tools.
- →Optional coaching / programs. We may offer paid educational coaching, cohorts, or mentorship covering general analytical frameworks and how to use the platform. Any coaching is general education only and is not personalized investment advice.
We may add, modify, suspend, or discontinue any feature of the Service at any time without liability.
03Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that your use complies with all laws applicable to you, including any restrictions in your country or jurisdiction. The Service is not directed to any person where its availability or use would be contrary to law or regulation.
04Account & Security
To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for:
- →Maintaining the confidentiality of your login credentials.
- →All activity that occurs under your account.
- →Notifying us promptly of any unauthorized use or suspected breach of security.
Your account is personal to you. You may not share, sell, transfer, or sublicense your access, and you may not permit any other person to use your credentials. We may suspend or terminate accounts that we reasonably believe are being shared or misused.
05Subscriptions, Billing, Auto-Renewal & Cancellation
Some parts of the Service require a paid subscription or a one-time or installment program fee. By purchasing, you authorize us and our payment processor (Stripe) to charge the applicable fees and any taxes to your chosen payment method.
- →Auto-renewal. Subscriptions renew automatically at the end of each billing period (e.g., monthly or annually) at the then-current rate, unless you cancel before the renewal date. By subscribing, you authorize these recurring charges until you cancel.
- →Cancellation. You may cancel at any time through your account settings or by contacting us. Cancellation stops future renewals; it does not retroactively cancel the current period. After cancellation you retain access through the end of the period you have already paid for.
- →Price changes. We may change subscription prices. We will give you advance notice, and changes take effect at your next renewal. Continued use after a price change constitutes acceptance.
- →Refunds. Except where required by law or expressly stated in writing, fees are non-refundable and we do not provide refunds or credits for partial periods, unused time, or features you did not use. Any refund or trial terms we choose to offer will be described at the point of purchase.
- →Failed payments. If a charge fails, we may retry the payment method, suspend access, or terminate the subscription.
Educational Purposes Only — Not Investment Advice
All content, data, models, scores, signals, dashboards, newsletters, and coaching provided through the Service are for general educational and informational purposes only. They are published impersonally and are the same for every subscriber. Nothing on the Service is, or should be construed as:
- →Investment, financial, legal, accounting, or tax advice;
- →A recommendation, solicitation, or offer to buy, sell, or hold any security, digital asset, or other instrument;
- →An offer of, or solicitation for, any advisory or brokerage service; or
- →A statement that any security, strategy, or product is suitable for you specifically.
Dark Matter Research is not a registered investment adviser, broker-dealer, or financial planner, and does not provide personalized investment advice. The Service does not take into account your individual objectives, financial situation, or needs. Any investment or trading decision you make is your own decision, made at your own risk. You are solely responsible for evaluating the information and for consulting your own licensed professional advisers before acting. You agree that we are not liable for any decision you make or action you take based on the Service.
Relationship to the Fund
Dark Matter Research is a publisher and education provider. It produces impersonal educational market research and analytics. It is not an investment adviser and does not provide investment advisory services.
The founder of Dark Matter Research separately manages a private investment fund as an exempt private-fund manager. Dark Matter Research and that private fund are separate. For the avoidance of doubt:
- →The Service is the educational publication — it is not the fund.
- →The Service does not offer, sell, or solicit interests in any fund and is not an offering document for any fund.
- →The Service does not present, report, or advertise the fund’s performance, holdings, or returns.
- →Subscribing to the Service does not make you an investor, client, or advisory client of the fund or its manager, and creates no advisory relationship.
Any interest in a private fund, if ever offered, would be offered solely to eligible investors through separate definitive offering documents, and only where lawful. Nothing on the Service should be read as such an offer.
08No Earnings, Income, or Performance Claims
We make no representation, warranty, promise, or guarantee of any kind regarding earnings, income, profit, returns, or results. Any examples, hypotheticals, backtests, model outputs, or illustrations are for education only and are not promises of future outcomes.
All trading and investing involves risk, including the risk of losing some or all of your capital. Past performance does not predict or guarantee future results. Your actual results, if any, depend on factors outside our control, including your own decisions, skill, and market conditions. You should not use the Service with funds you cannot afford to lose.
09Acceptable Use
You agree not to, and not to permit anyone else to:
- →Use the Service for any unlawful, fraudulent, or abusive purpose, or in violation of any applicable law or regulation;
- →Copy, scrape, harvest, redistribute, resell, sublicense, or publicly display the Service or its data or content except as expressly permitted;
- →Reverse engineer, decompile, or attempt to derive source code or underlying models from the Service;
- →Share, resell, or provide access to your account, or circumvent any access, usage, or rate limits;
- →Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, its systems, or other users’ accounts;
- →Use automated means (bots, scrapers) to access the Service except as we expressly authorize; or
- →Use the Service to provide investment advice to others or to operate a competing product.
10Intellectual Property
The Service, including its software, dashboards, models, text, graphics, logos, the Dark Matter Research name and brand, and all related content, is owned by Dark Matter Research or its licensors and is protected by intellectual-property and other laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial educational use only.
You retain ownership of any content you submit, and you grant us a non-exclusive license to use it as needed to operate and improve the Service. All rights not expressly granted are reserved. You may not use our trademarks without our prior written consent.
11Third-Party Data
The Service incorporates data and content from third-party sources, including but not limited to public government and regulatory sources (such as FRED and the U.S. Securities and Exchange Commission), exchanges, and other market-data providers. Such data is provided “as is” and “as available,” and may be delayed, incomplete, inaccurate, or unavailable.
We do not control and are not responsible for third-party data, and we make no warranty as to its accuracy, timeliness, completeness, or fitness for any purpose. Third-party data is subject to the terms and rights of its respective owners. You should independently verify any information before relying on it.
12Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any content, model, score, or signal is accurate, reliable, or complete. To the maximum extent permitted by law, you use the Service entirely at your own risk.
13Limitation of Liability & Indemnification
To the maximum extent permitted by law, Dark Matter Research and its founder, owners, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or trading or investment losses, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification. You agree to indemnify, defend, and hold harmless Dark Matter Research and its founder, owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any law or third-party right, or any decision or action you take based on the Service.
14Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms, to comply with law, to protect the Service or other users, or for any lawful reason. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive termination.
15Governing Law & Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of [JURISDICTION], without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in [JURISDICTION] for the resolution of any dispute not subject to another agreed process. Nothing in these Terms limits any non-waivable rights you may have under the mandatory laws of your place of residence.
16Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update takes effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
